Terms of Service

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “Consumer,” or “Merchant Partner,” as applicable) and Askae, LLC d/b/a Laziz (“Laziz,” “we,” “our,” or “us”). Laziz is the consumer-facing brand and platform operated by Askae, LLC. These Terms govern your access to and use of the Laziz mobile application, website at laziz.co, merchant portal, APIs, and all related services (collectively, the “Platform”).

1.Nature of the Platform; No Agency

Laziz operates a two-sided digital marketplace that connects independent food and beverage merchants (“Merchant Partners”) with consumers seeking discounted, surplus, or time-limited meal offers. Consumers purchase deals directly through the Laziz app; Laziz collects payment on each transaction and remits the proceeds to the applicable Merchant Partner, net of Laziz’s commission. Laziz is not a restaurant, food seller, food handler, or caterer. Merchant Partners are independent businesses and are not agents, employees, franchisees, or joint venture partners of Laziz.

All food preparation, handling, labeling, safety compliance, and fulfillment is the sole responsibility of the applicable Merchant Partner. Laziz does not inspect, endorse, certify, or guarantee the quality, safety, legality, or accuracy of any item listed on the Platform.

2.Eligibility and Account Registration

Age. You must be at least 18 years of age to create an account or use the Platform. By using the Platform, you represent and warrant that you meet this requirement. The Platform is not directed to individuals under 18, and we do not knowingly collect personal data from minors.

Account Accuracy. You agree to provide accurate, current, and complete information when registering and to keep your account information updated. You are solely responsible for all activity under your account. Notify us immediately at support@laziz.co if you suspect unauthorized access. Laziz is not liable for any loss resulting from unauthorized use before notification.

One Account. Each individual may maintain only one Consumer account. Merchant Partners may maintain one account per distinct legal business entity. Laziz reserves the right to merge or terminate duplicate accounts.

Credentials. Your login credentials are personal and non-transferable. You may not share, sell, or assign your account to any third party.

3.Consumer Terms

3.1 Ordering and Payment

All purchases are made through the Laziz app. When you place an order, you submit a purchase request for the applicable deal. A binding contract is formed when your order is confirmed. Payment is collected by Laziz at the time of order confirmation via our third-party payment processor; Laziz then remits the sale amount to the Merchant Partner, net of Laziz’s commission and applicable payment processing fees. All prices are in U.S. dollars and inclusive of applicable taxes unless stated otherwise.

3.2 Pickup; No Delivery

Laziz is a pickup-only platform. All orders must be collected in person at the Merchant Partner’s location within the pickup window specified at checkout. You will receive a notification when your order is ready. Laziz does not provide delivery services and assumes no responsibility for orders not collected within the designated window.

3.3 Cancellations and Refunds

Because Laziz notifies the Merchant Partner to begin preparing your order immediately upon placement, Laziz does not process cancellations or refunds. If you have an issue with your order — including a request to cancel, a missing item, or a quality concern — you must contact the Merchant Partner directly. All such requests are handled entirely at the Merchant Partner’s sole discretion. Laziz bears no responsibility or liability for a Merchant Partner’s decision to grant or deny any cancellation or refund request.

3.4 Allergens and Dietary Information

Laziz does not guarantee the accuracy of allergen, nutritional, or dietary information displayed on the Platform. Such information is provided by Merchant Partners and may not reflect current ingredients, preparation methods, or cross-contamination risks. Consumers with food allergies, intolerances, or dietary restrictions must contact the Merchant Partner directly before ordering. YOU ASSUME ALL RISK ASSOCIATED WITH FOOD ALLERGENS.

4.Merchant Partner Terms

4.1 Eligibility and Onboarding

To list on the Platform as a Merchant Partner, you must complete Laziz’s onboarding process, agree to the Merchant Partner Agreement, and maintain all licenses, permits, and certifications required by applicable federal, state, and local law to prepare and sell food to the public, including but not limited to food handler certifications and business licenses.

4.2 Listing Accuracy

Merchant Partners are solely responsible for the accuracy, completeness, and legality of all listings, including item descriptions, pricing, photos, allergen information, and offer terms. Listings must not misrepresent products or include prohibited items. Laziz reserves the right to remove or modify any listing that violates these Terms or applicable law.

4.3 Fulfillment Obligations

Once an order is confirmed, the Merchant Partner is contractually obligated to prepare and make available the ordered items within the stated pickup window. Repeated failures to fulfill confirmed orders may result in suspension or termination of the Merchant Partner’s account.

4.4 Commission, Fees, and Payouts

Laziz collects payment from Consumers on your behalf and remits the proceeds to you net of (a) Laziz’s platform commission and (b) applicable third-party payment processing fees charged by our payment processor (currently Stripe) on each completed transaction. The applicable commission rate, payout schedule, and any additional fees are set forth in the Merchant Partner Agreement. Payouts are processed through Stripe; by receiving payouts you agree to Stripe’s Connected Account Agreement.

4.5 Food Safety and Regulatory Compliance

Merchant Partners bear exclusive responsibility for compliance with all applicable food safety laws, including the FDA Food Safety Modernization Act (FSMA), applicable state health codes, and local public health department requirements. Laziz reserves the right to immediately suspend any Merchant Partner account upon receipt of a credible food safety complaint or regulatory action.

5.Prohibited Conduct

You agree not to, and will not permit others to:

• —Use the Platform for any unlawful purpose or in violation of any applicable law or regulation;
• —Circumvent, disable, or interfere with any security-related feature of the Platform;
• —Scrape, crawl, or use automated tools to extract data from the Platform without written authorization;
• —Create fake accounts, impersonate any person or entity, or falsely represent your affiliation with a person or entity;
• —Manipulate ratings, reviews, or feedback by any artificial means;
• —Engage in price manipulation, fraudulent chargebacks, or abuse of refund policies;
• —Transmit any content that is defamatory, harassing, hateful, obscene, or infringing of third-party rights;
• —Attempt to reverse-engineer, decompile, or derive source code from the Platform;
• —Use the Platform to distribute spam, malware, or any other harmful code;
• —Resell, sublicense, or commercially exploit any portion of the Platform without written consent.

Violation of this Section may result in immediate account termination and may expose you to civil or criminal liability.

6.Intellectual Property

The Platform and all content, features, and functionality — including software, text, images, graphics, logos, trade names, and trademarks — are the exclusive property of Laziz or its licensors and are protected by U.S. and international intellectual property laws.

Subject to your compliance with these Terms, Laziz grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for its intended purpose. “Laziz” and related marks are trademarks of Askae, LLC. You may not use any Laziz marks without our prior written permission.

User Content. By submitting any content to the Platform (including reviews, photos, and menu uploads), you grant Laziz a worldwide, royalty-free, perpetual, irrevocable, sublicensable license to use, reproduce, modify, distribute, and display such content in connection with operating and promoting the Platform. You represent and warrant that you own or have the right to grant this license and that the content does not infringe any third-party rights.

7.Disclaimers

THE PLATFORM IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. LAZIZ DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

LAZIZ EXPRESSLY DISCLAIMS ANY AND ALL LIABILITY FOR THE ACTS, OMISSIONS, AND CONDUCT OF MERCHANT PARTNERS AND CONSUMERS, INCLUDING WITHOUT LIMITATION ANY INJURY, ILLNESS, PROPERTY DAMAGE, OR LOSS ARISING FROM OR RELATED TO FOOD PRODUCTS PURCHASED THROUGH THE PLATFORM.

8.Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL LAZIZ, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, PERSONAL INJURY, OR PROPERTY DAMAGE, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE PLATFORM, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF LAZIZ HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

LAZIZ’S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS SHALL NOT EXCEED THE GREATER OF (A) ONE HUNDRED U.S. DOLLARS ($100.00) OR (B) THE TOTAL AMOUNTS PAID BY YOU TO LAZIZ IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or damages. To the extent such laws apply, some of the above limitations may not apply to you.

9.Indemnification

You agree to indemnify, defend (at Laziz’s option), and hold harmless Laziz and its affiliates, officers, directors, employees, agents, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to: (a) your violation of these Terms; (b) your use of the Platform; (c) your User Content; (d) your interaction with any Merchant Partner or Consumer; or (e) any violation of applicable law by you.

10.Governing Law; Dispute Resolution

10.1 Governing Law

These Terms and any dispute arising out of or relating to them or the Platform shall be governed by the laws of the State of California, without regard to its conflict of laws principles.

10.2 Informal Resolution

Before initiating formal proceedings, you agree to first contact us at legal@laziz.co and attempt to resolve the dispute informally for at least thirty (30) days.

10.3 Binding Arbitration

If informal resolution fails, all disputes — except claims that qualify for small claims court — shall be resolved by binding individual arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules, or, for Merchant Partners, its Commercial Arbitration Rules. The arbitration shall be conducted in San Jose, California, or by videoconference at Laziz’s election. The arbitrator’s decision shall be final and binding.

10.4 Class Action Waiver

YOU AND LAZIZ AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. If this waiver is found unenforceable, the entirety of Section 10.3 shall be void.

10.5 Jury Trial Waiver

TO THE EXTENT PERMITTED BY LAW, EACH PARTY IRREVOCABLY WAIVES ANY RIGHT TO A TRIAL BY JURY IN ANY ACTION ARISING OUT OF OR RELATING TO THESE TERMS.

11.Termination

Laziz may suspend or terminate your account or access to the Platform at any time, with or without cause, and with or without notice, including for violation of these Terms. You may close your account at any time by contacting support@laziz.co. Upon termination, your right to use the Platform ceases immediately. Sections 6, 7, 8, 9, and 10 survive termination.

12.Modifications to the Terms

Laziz reserves the right to modify these Terms at any time. We will provide notice of material changes by updating the “Effective Date” at the top of this page and, where appropriate, by sending an email to the address associated with your account. Your continued use of the Platform after the effective date of any modification constitutes your acceptance of the revised Terms.

13.Miscellaneous

Entire Agreement. These Terms, together with the Privacy Policy and any applicable Merchant Partner Agreement, constitute the entire agreement between you and Laziz with respect to the Platform and supersede all prior agreements and understandings.

Severability. If any provision of these Terms is found invalid or unenforceable, that provision shall be enforced to the maximum extent permissible, and the remaining provisions shall remain in full force and effect.

No Waiver. Laziz’s failure to enforce any right or provision shall not constitute a waiver of such right or provision.

Assignment. You may not assign any of your rights or obligations under these Terms without Laziz’s prior written consent. Laziz may freely assign these Terms in connection with a merger, acquisition, or sale of assets.

Force Majeure. Laziz will not be liable for delays or failures in performance resulting from causes beyond its reasonable control, including acts of God, pandemics, labor disputes, or governmental actions.
